Terms & Conditions
The following terms and conditions apply to all services, including website development and design services (the Services), provided by Build IQ (Build IQ) to the Client, in conjunction with any relevant quotation provided to the Client by Build IQ (Terms), unless otherwise agreed in writing. Acceptance of a quote, purchase, or use of the Services shall be considered acceptance of these Terms.
1. Charges
Charges for the Services are outlined in the project quotation that the Client receives from Build IQ via email. Quotations are valid for 30 days, after which Build IQ reserves the right to amend the quote or decline to provide the relevant Services.
Unless otherwise agreed with the Client, all website design services require an advance payment of 33% of the project quotation total before work commences. A second payment of 33% is due after the client review and design sign-off stage, with the remaining balance payable upon project completion, before the website is uploaded to the server or materials are released.
The Client agrees to reimburse Build IQ for any additional expenses necessary to complete the project. These expenses may include, but are not limited to, domain name registration, special fonts, and stock photography.
All Charges are exclusive of VAT.
2. Invoicing and Payment
Build IQ will submit invoices in line with the payment schedule outlined above. Invoices are typically sent via email, although hard copies are available upon request. Payment is due upon receipt of the invoice by the Client.
Payment can be made by cheque or bank transfer. Cheques should be made payable to Build IQ and sent to Build IQ, 5 Abbey Street, Carlisle, CA3 8TX. Bank details will be provided on invoices.
If the Client fails to make a payment by the due date, without limiting Build IQ's rights under or in connection with these Terms, the Client shall be charged interest on the overdue amount at 4% per annum above the Bank of England base rate. Interest accrues daily from the due date until payment is made in full.
Accounts unpaid after 30 days from the invoice date will be considered in default. If the Client in default hosts any information or files on Build IQ's web space, Build IQ reserves the right to remove such material. Build IQ is not responsible for data loss due to service removal. This does not relieve the Client from the obligation to pay any outstanding charges. Cheques returned for insufficient funds will incur a £25 return charge, and the account will be considered in default until full payment is received. Clients in default agree to cover reasonable expenses, including legal fees and third-party collection costs, incurred by Build IQ in enforcing these Terms.
3. Change Control Process
Our project management process includes a change control mechanism. This process is implemented when changes are requested after the website scope document has been signed off or after the project has entered the design phase.
Clients will be asked to complete a simple form, after which we will assess if the requested change can be made at the current stage of the project and if it can be included within the original project costs or will incur additional charges. This ensures the project remains on track and within budget.
4. Client Review
Build IQ will provide the Client with opportunities to review the website’s design and content during development. Once the project is completed, the materials will be considered accepted unless the Client notifies Build IQ of any issues within 10 days of the materials being made available.
5. Turnaround Time and Content Control
Build IQ will aim to complete and publicly post or deliver the Client’s website by the date specified in the project proposal or on the date agreed with the Client, pending receipt of the initial payment. The Client must provide all necessary cooperation, information, and materials promptly to ensure timely project delivery.
The Client must designate a single point of contact to facilitate communication with Build IQ, allowing the project to proceed smoothly.
6. Failure to Provide Required Website Content
As a small business, Build IQ operates on a strict schedule to maintain efficiency. Therefore, we ask that the Client provide all necessary content in a timely manner. If delays occur due to a lack of information from the Client, we reserve the right to charge up to 25% of the project cost as a surcharge.
If the Client agrees to provide required information but fails to do so within one week of project commencement, we reserve the right to close the project, and any remaining balance becomes payable immediately.
7. Web Browsers
Build IQ makes every effort to ensure websites are compatible with the most widely used current browsers (e.g., Firefox, Google Chrome, Microsoft Edge). However, we cannot guarantee that a website will function correctly across all browsers and operating systems.
Build IQ will not be responsible for websites that do not display properly in new browser versions released after the site has been handed over. We may provide quotes for updates necessary to maintain compatibility with newer browsers.
8. Termination
Client termination requests must be submitted in writing and will be effective upon receipt. Any work completed up until the date of termination will be invoiced and must be paid within 30 days.
9. Indemnity
All Build IQ services must be used lawfully. The Client agrees to indemnify and hold Build IQ harmless from any damages, losses, or expenses arising from the Client's use of Build IQ’s services.
10. Intellectual Property
Background IP refers to any intellectual property that pre-exists or is developed outside the scope of these Terms. Foreground IP refers to intellectual property created or developed specifically for the project. All Background IP remains the property of the party owning it.
The Client grants Build IQ a non-exclusive license to use any materials provided for project completion. The Client is responsible for ensuring they have the rights to use any copyrighted materials. Build IQ will not be held responsible for any claims resulting from improper use of copyrighted materials.
